Seller Agreement ( Commision Based )
This Seller Agreement governs the relationship between the Marketplace (referred to as “we”, “us”, or “our”) and the Seller / Artisan / Vendor (referred to as “you” or “seller”) for selling products through our online marketplace.
By registering as a seller, listing products, or accepting orders through our platform, you agree to the terms of this Agreement.
1. Purpose
Our platform enables local artisans and small businesses to sell authentic Assamese products such as handlooms, bamboo crafts, wooden crafts, bell metal crafts, homemade food items, and similar goods.
The marketplace provides customer orders, marketing, and packaging support, while sellers manage production and shipping.
2. Role & Responsibilities
Marketplace Responsibilities
- Provide platform for product listing and discovery.
- Promote products and bring customer orders.
- Provide standard packaging materials for consistent branding.
- Collect payments from customers and transfer seller payouts.
Seller Responsibilities
- Manufacture and supply high-quality products.
- Maintain stock and inventory availability.
- Pack and ship orders using provided packaging.
- Ensure product authenticity and quality.
- Update prices and product information when required.
3. Commission & Payouts
- A 20% commission is charged on every successfully delivered order.
- Applicable payment gateway fees of 2% and packaging fees will be deducted before payout.
- Seller payouts are made within 7–15 working days after order delivery to the customer.
- All payments are transferred digitally (bank transfer).
4. Product Quality & Authenticity
The seller confirms that:
Products are original, authentic, and handcrafted or traditionally produced
No factory-made or duplicate items will be sold as “handmade”
Food items (including pickles) are produced hygienically and safe for consumption
Products match the images, descriptions, and specifications listed
The marketplace reserves the right to disable or remove any product that does not meet quality standards or receives repeated negative feedback.
5. Packaging & Branding
Marketplace will provide standard packaging materials for uniform branding.
Sellers must use only the provided packaging for all orders received via the platform.
Failure to follow packaging guidelines may result in penalty or seller suspension.
6. Shipping & Dispatch Time
Seller must dispatch orders within 2–5 business days from receiving order details.
Seller must ensure safe packaging to avoid transit damage.
If tracking is available, the seller should share tracking details.
7. Returns, Damages & Replacements
Seller will be responsible if:
Product received by customer is defective, broken, or different from order
Incorrect product/information is shared
Product is not authentic or of inferior quality
In such cases:Seller must replace the product or accept a deduction in payout for refund processing.
Return shipping charges may be borne by the seller depending on the issue.
Marketplace will intervene fairly
Resolutions will be decided based on evidence such as customer photos/videos.
8. Cancellation Terms
Order cancelled before dispatch: no charges apply
Order cancelled after dispatch: courier return charges may apply
9. Pricing & Discounts
The seller decides the MRP of the product.
Any price change must be informed before implementation.
Participation in marketplace promotional campaigns is optional.
10. Content Rights
By listing products, seller grants permission to the marketplace to:
Use product images, videos, descriptions, brand names for advertising and promotional activities
Edit product descriptions for SEO and marketing purposes
The marketplace will not claim ownership of seller’s brand or products.
11. Tax & Compliance
Seller must comply with applicable tax, GST, food safety (if relevant), and trade rules.
The marketplace is not responsible for legal or tax issues arising from seller activities, products, or registrations.
12. Limitation of Liability
The marketplace will not be responsible for:
Inventory management
Delays in dispatching by seller
Manufacturing defects
Legal issues arising from seller’s product claims
Seller is fully liable for the products sold.
13. Confidentiality
Both parties agree not to share customer information, order details, business data, or trade information with third parties.
14. Termination
Either party may terminate participation by providing written notice (email allowed).
All pending orders, commissions, and payments will be settled before termination.
Marketplace reserves the right to suspend or remove a seller for violations of policies or poor performance.
15. Acceptance of Agreement
By registering as a seller, uploading products, receiving orders, or continuing to use the platform, the seller acknowledges and agrees to all the terms mentioned in this Seller Agreement.
